A Personal Guaranty Demand Letter Starts Two Files: the Debt and Your Signed Scope
A personal guaranty demand response helps a business owner preserve the notice, separate borrower and guarantor records, verify the signed scope, reconcile the claimed balance, and route legal decisions promptly.

The demand amount is only one lane. The sender, signed guaranty, borrower debt, collateral history, notices, defenses, and response clock each need their own record.
After receiving a personal guaranty demand letter, preserve the complete letter, envelope, email headers, attachments, and service details; verify the sender through an independently sourced contact; and calendar every stated deadline. Open two linked files: the borrower's debt and collateral history, and the guarantor's signed scope, amendments, releases, notices, and alleged balance. Send both to qualified counsel promptly before making admissions, payment promises, asset transfers, or settlement proposals.
The Personal Guaranty Demand Response Kit adds editable demand, document, scope, balance, collateral, communication, decision, and follow-up controls so the owner and advisor can review the same fact set.
Build two linked files without treating them as the same claim
| Lane | Records to collect | Question to reserve for qualified review |
|---|---|---|
| Demand authenticity | Letter, envelope, email headers, sender identity, account reference, service date, independent callback. | Who is making the demand and with what authority? |
| Borrower debt | Note, statements, payment history, default notices, amendments, forbearance, payoff, credits, and fees. | What amount is actually due under the controlling agreements? |
| Guaranty scope | Every signed guaranty, limitation, collateral pledge, release, consent, amendment, and signature page. | Which obligations, amounts, people, property, events, and periods does the signed language cover? |
| Collateral and recovery | Collateral list, liens, insurance, sale or liquidation records, proceeds, appraisals, and recovery credits. | How do collateral rights and proceeds affect the claimed amount or next step? |
| Clock and response | Demand date, cure date, suit or arbitration papers, hearing dates, reservation letters, and contact log. | What response, preservation, negotiation, or court action is required and by when? |
The SBA's current Form 148 and 148L instructions illustrate why labels are not enough: a full guaranty and limited guaranty can use different limitation structures, and state-specific provisions, collateral, and signatures matter. A private lender may use different documents. Do not assume an SBA form, an internet definition, or the word limited decides the real demand.
The owner calls the number in the letter, agrees the balance is right, promises a payment, and later discovers a limitation page and uncredited collateral sale.
The owner verifies the sender, preserves the clock, assembles borrower and guarantor records, marks unknowns, and lets counsel choose the response language.

Use this non-substantive receipt message only when counsel approves
We acknowledge receipt on [date] of the correspondence identified as [reference]. We are collecting the loan, guaranty, payment, collateral, notice, and modification records and have referred the matter for qualified review. Please send future correspondence and a current itemized account history through [verified secure channel or authorized contact]. This acknowledgment is not an agreement with the amount, characterization, document scope, remedies, or requested action, and it does not request or confirm any extension. Our substantive response, if any, will follow the applicable documents and deadlines.
Do not send the sample automatically. A deadline may require a different filing, appearance, objection, answer, or negotiated communication, and local law may affect what an acknowledgment does. The useful tool here is the intake file; response language belongs with counsel.
Worked example: the demand cites a full balance but the file shows two guaranties
A hypothetical restaurant company refinances equipment and working capital. One owner signs a full guaranty at the first closing. A later modification includes a separate limitation exhibit and a collateral pledge, but the office never merged the closing files. After default, a collector demands the entire balance and cites only the first date. The owner wants to reply that the later exhibit eliminated liability.
Instead, the finance lead preserves the demand and envelope, verifies the collector through the lender's known number, obtains the complete note and account history, indexes both guaranties and the modification, and reconciles payments plus equipment-sale proceeds. The owner gives counsel the documents, deadlines, and conflicts without asserting what the later exhibit legally did. Counsel decides whether to request clarification, reserve rights, negotiate, or take another path. This example demonstrates evidence control, not a legal conclusion or expected outcome.

Personal guaranty demand checklist
- Preserve the complete demand, attachments, envelope, service proof, email headers, and reference numbers.
- Verify the sender, creditor, servicer, collector, and contact route independently.
- Calendar every demand, cure, suit, hearing, arbitration, response, and document-preservation date.
- Collect the note, credit agreement, security documents, statements, default notices, and every modification.
- Collect every guaranty, limitation, pledge, consent, release, signature page, and state-specific addendum.
- Separate borrower obligations from guarantor obligations in the control file.
- Reconcile principal, interest, fees, costs, payments, credits, insurance, and collateral proceeds by source.
- Record collateral location, condition, insurance, liens, sale, surrender, and recovery facts without moving or concealing assets.
- Identify missing pages, conflicting dates, different legal names, and unsupported balance entries.
- Keep sensitive personal financial records in a secure, access-controlled location.
- Have qualified counsel choose any admission, denial, reservation, payment, settlement, bankruptcy, defense, or litigation step.
- Save the authorized response, delivery proof, commitments, next date, and final resolution documents.
FAQ: does limited guaranty mean the demand is capped at a fixed dollar amount?
Not necessarily. A limitation can be structured by amount, percentage, time, collateral, balance reduction, or other language, and default or modification terms may matter. Only the signed, operative documents and applicable law answer the real scope.
FAQ: should I move personal assets after receiving the demand?
Do not conceal, transfer, retitle, pledge, or dispose of assets in response to a demand without qualified legal advice. Those actions can create separate legal and factual problems. Preserve records and give counsel a truthful asset and transaction history.
Connect the demand to the right adjacent file
If the business is still negotiating delinquent financed equipment, use the equipment-loan workout and asset-ranking plan. If the company received an ordinary customer payment demand rather than a guaranty claim, the payment demand evidence guide explains a different creditor-debtor file. An SBA EIDL delinquency belongs in its own SBA EIDL hardship and default workflow.
